Terms of use & Service
1) Introduction
These Terms of Use & Service ("Terms") govern access to our websites and the purchase of services from BrickByBrick Productions Inc. ("BBB," "we," "us," or "our"). By accessing our site, requesting a proposal, or signing a Service Agreement, you agree to these Terms.
2) Services
BrickByBrick Productions Inc. provides YouTube marketing and channel optimization, content strategy, scripting, editing, thumbnail/design, SEO, and consulting. Specific deliverables, timelines, and fees are defined in a written Proposal or Service Agreement.
3) Client responsibilities
Provide timely access to brand assets, logins, footage, and approvals.
Ensure you have rights to all assets you supply and that they comply with third‑party platform terms (e.g., YouTube, Google).
Review and approve deliverables within the timeframes outlined in the Service Agreement.
4) Fees, billing, and taxes
Fees and payment schedules are outlined in the Service Agreement (e.g., monthly packages or fixed-fee projects).
Unless stated otherwise, invoices are due upon receipt and considered late after 7 days.
If an account remains unpaid for 30 days, we may terminate Services and refer the balance to collections. You are responsible for reasonable collection costs and fees.
You authorize recurring charges for subscriptions. You are responsible for applicable taxes.
5) Term cancellations
Monthly packages: renew month‑to‑month unless your Service Agreement specifies a 6‑ or 12‑month commitment. Early cancellation of a commitment term may incur an early termination fee defined in the Service Agreement.
Early termination requests: You may request an early termination by emailing support@brickbybrick.productions from your account email. Unless otherwise agreed in writing, termination becomes effective at the end of the current billing cycle. For commitment terms, any early termination fee will be as stated in your Service Agreement.
Upon termination, you pay for work performed and committed third‑party costs to date.
Suspension/termination: We may suspend or terminate access to services immediately for non‑payment, unlawful or infringing content, platform policy violations, security or brand‑safety risks, abusive behavior toward staff, or other material breaches. We’ll notify you by email explaining the reason.
Refunds: Unless expressly stated in your Service Agreement, fees for work already performed, in‑progress deliverables, or prior billing cycles are non‑refundable. Prepaid blocks are refundable only if BBB has not commenced work on any included deliverables. For the complete and governing refund policy applicable to your specific purchase, please refer to your individual Service Agreement.
6) Changes & pauses
Scope changes require a written change order (which may affect timelines/fees). Pauses longer than 30 days may incur a restart fee and adjusted delivery windows.
7) Intellectual property
Client Materials: You retain ownership of assets you provide. You grant BBB a license to use them to deliver the services.
BBB Materials & Pre‑existing IP: BBB retains ownership of its tools, templates, project files, and know‑how.
Final Deliverables: Upon full payment, BBB assigns to you the ownership of final exported assets identified in the Service Agreement (e.g., final videos, thumbnails, channel graphics). BBB may showcase non‑confidential work in portfolios and case studies unless you opt out in writing.
8) Confidentiality; non‑solicitation
Each party will keep the other’s non‑public information confidential and use it only to perform under these Terms/Service Agreement. During the engagement and for 12 months after, you agree not to solicit for employment the specific BBB staff directly assigned to your account without BBB’s written consent.
9) Platform compliance & disclaimers
You are responsible for complying with platform policies (e.g., YouTube ToS, community guidelines, advertising policies, music licensing). BBB does not provide legal, tax, or brokerage services. We do not guarantee specific traffic, rankings, leads, or revenue outcomes.
10) Warranties & limitation of liability
Services are provided “as is” and “as available.” To the maximum extent permitted by law, BBB disclaims all warranties and limits its aggregate liability arising out of or related to the services to the amounts you paid to BBB in one (1) month preceding the claim. In no event will BBB be liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
11) Indemnification
You will indemnify, defend, and hold BBB harmless from claims, damages, and expenses arising out of: (a) your content/assets, (b) your misuse of the services, or (c) your violation of law or third‑party rights.
12) Governing law; disputes
These Terms are governed by the laws of the Province of Ontario, Canada (without regard to conflicts rules). Disputes will be resolved in the courts of Ontario, and the parties consent to personal jurisdiction there.
13) Changes to Terms
We may update these Terms from time to time. Continued use of the site/services after changes constitutes acceptance.
